Terms of Service

1. Introduction and Acceptance of Terms

These Terms of Service (the “Terms”) govern your access to and use of the services, facilities, websites, content, and related offerings provided by Northlight Stream Studio (“Northlight Stream Studio,” “we,” “us,” or “our”). By booking, accessing, purchasing, or using any service offered by Northlight Stream Studio, you agree to be bound by these Terms and all policies referenced herein.

If you do not agree to these Terms, you must not use our services. If you are using our services on behalf of a business, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.

These Terms are intended to be interpreted in accordance with applicable laws in Canada, including applicable provincial and federal laws, and, where relevant, consumer protection, privacy, intellectual property, and contract law principles.

2. Scope of Services

Northlight Stream Studio provides professional media production and streaming services, which may include, without limitation:

• Live stream production;
• Podcast recording and livestreaming;
• Multi-camera video capture;
• Green screen setup and compositing;
• Audio engineering and sound mixing;
• Remote guest integration;
• Post-production editing for streamed content.

We may provide services in-studio, remotely, or in a hybrid format, depending on the project scope, technical requirements, and availability. Any service description, quote, proposal, estimate, or statement of work provided by Northlight Stream Studio is subject to these Terms unless expressly stated otherwise in a signed written agreement.

We reserve the right to refuse, suspend, or discontinue services where necessary for safety, legal compliance, technical feasibility, content policy, or non-payment.

3. User Obligations and Responsibilities

You agree to provide accurate, complete, and current information when booking or using our services, including contact details, project specifications, guest information, and any technical or content requirements.

You are responsible for:

• Ensuring that all content you provide or request us to produce is lawful and does not infringe any third-party rights;
• Obtaining all necessary permissions, releases, consents, licenses, and approvals for recording, broadcasting, publishing, or distributing content;
• Ensuring that guests, participants, performers, and speakers have consented to being recorded or livestreamed, where required by law;
• Complying with all applicable laws, regulations, platform rules, and industry standards;
• Providing timely access to materials, scripts, assets, branding, and technical information needed to perform the services;
• Maintaining the confidentiality of any login credentials, access links, or studio access information provided to you;
• Ensuring that any equipment, files, or materials you supply are safe, lawful, and free from malware or harmful code.

You must not use our services for unlawful, defamatory, harassing, obscene, fraudulent, or otherwise prohibited purposes. You must not interfere with studio operations, damage equipment, or disrupt other clients, staff, or guests.

If you attend our premises, you must comply with all health, safety, security, and conduct rules communicated by Northlight Stream Studio. We may remove any person from the premises for misconduct, safety concerns, or policy violations.

4. Payment Terms and Conditions

Fees for services will be set out in a quote, invoice, booking confirmation, or written agreement. Unless otherwise stated, all fees are quoted in Canadian dollars (CAD).

Payment terms may include, as applicable:

• A non-refundable deposit or retainer to secure a booking;
• Milestone payments tied to project stages;
• Full payment in advance for certain services or bookings;
• Additional charges for overtime, rush work, special equipment, travel, storage, or third-party services.

Unless otherwise agreed in writing, invoices are due upon receipt or within the payment period stated on the invoice. Late payments may result in suspension of services, withholding of deliverables, cancellation of bookings, and interest or administrative charges to the extent permitted by law.

You are responsible for all applicable taxes, including GST/HST and any other taxes, duties, or levies imposed by law, unless expressly included in the quoted price.

Any estimate provided by Northlight Stream Studio is based on the information available at the time and may change if the project scope, timing, technical requirements, or client instructions change. Additional work outside the agreed scope may be billed separately at our then-current rates.

5. Cancellation and Refund Policy

Cancellations must be made in writing and are effective only when received by Northlight Stream Studio. Cancellation terms may vary depending on the service type, booking date, staffing commitments, and third-party costs incurred.

Unless otherwise stated in a written agreement:

• Deposits and retainers are non-refundable to the extent permitted by law;
• Cancellations made close to the scheduled service date may be subject to cancellation fees;
• Any non-recoverable costs already incurred by Northlight Stream Studio or its vendors may be charged to you;
• No refund will be issued for services already performed, delivered, or substantially completed;
• If a livestream or recording is interrupted due to your acts, omissions, or failure to provide required materials or approvals, fees remain payable.

If Northlight Stream Studio must cancel or reschedule a booking due to equipment failure, staffing issues, safety concerns, force majeure, or other circumstances beyond our reasonable control, we may, at our discretion, reschedule the service, issue a credit, or provide a refund for the affected portion of fees paid, subject to applicable law and any third-party costs already incurred.

Refund requests must be submitted in writing with sufficient detail. Approved refunds will be processed using the original payment method where practicable, within a reasonable time.

6. Liability Limitations

To the fullest extent permitted by applicable law, Northlight Stream Studio, its directors, officers, employees, contractors, agents, affiliates, and suppliers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of data, business interruption, reputational harm, or loss of opportunity, arising out of or related to the services or these Terms.

To the fullest extent permitted by law, our total aggregate liability for any claim arising from or related to the services or these Terms shall not exceed the amount paid by you to Northlight Stream Studio for the specific service giving rise to the claim in the three (3) months preceding the event giving rise to liability, or CAD $1,000, whichever is greater, unless a different limitation is required by law.

We do not guarantee uninterrupted, error-free, or loss-free recording, streaming, storage, or transmission. Technical failures may occur due to internet instability, platform outages, power interruptions, hardware malfunction, software issues, third-party service failures, or other causes beyond our control.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law, including liability for fraud, wilful misconduct, or gross negligence where such limitation is not permitted.

7. Intellectual Property Rights

Unless otherwise agreed in writing, Northlight Stream Studio retains all right, title, and interest in and to its pre-existing intellectual property, including studio processes, workflows, templates, software configurations, editing techniques, equipment setups, branding, and proprietary materials.

Subject to full payment of all applicable fees, and unless otherwise stated in a written agreement, you will receive a limited, non-exclusive, non-transferable license to use the final deliverables created specifically for you for the purpose agreed in the booking or project scope.

You acknowledge that:

• Raw footage, project files, session files, and source materials may remain the property of Northlight Stream Studio unless otherwise agreed;
• We may retain copies of project materials for backup, archival, quality assurance, legal compliance, and dispute resolution purposes;
• You are responsible for ensuring that any content, logos, music, images, scripts, or other materials you provide do not infringe third-party rights;
• Any third-party intellectual property used in your project remains subject to the rights and licenses of the respective owners.

Unless you and Northlight Stream Studio agree otherwise in writing, we may display limited excerpts, stills, or references to completed work in our portfolio, website, social media, or promotional materials, provided such use does not disclose confidential information or violate applicable law.

8. Data Protection and Privacy

Northlight Stream Studio collects, uses, discloses, and retains personal information in accordance with applicable Canadian privacy laws, including, where applicable, the Personal Information Protection and Electronic Documents Act (PIPEDA) and relevant provincial privacy legislation.

We may collect personal information such as names, contact details, billing information, project details, guest information, and technical metadata for purposes including:

• Providing and managing services;
• Processing payments and invoices;
• Communicating with clients and participants;
• Coordinating recordings, livestreams, and post-production;
• Maintaining records, security, and legal compliance;
• Improving our services and operations.

Where we handle personal information on your behalf, you represent that you have obtained all necessary consents and provided all required notices to the individuals whose information is shared with us. You are responsible for ensuring that any personal information you provide to us is collected and disclosed lawfully.

We use reasonable administrative, technical, and physical safeguards designed to protect personal information. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.

9. Force Majeure

Northlight Stream Studio shall not be liable for any delay, failure, interruption, or inability to perform any obligation under these Terms to the extent caused by events beyond our reasonable control, including but not limited to:

• Acts of God, fire, flood, storm, earthquake, or other natural disasters;
• Power outages, internet failures, telecommunications disruptions, or utility interruptions;
• War, terrorism, civil unrest, labour disputes, strikes, or governmental action;
• Pandemics, epidemics, public health emergencies, or quarantine restrictions;
• Equipment failure, software malfunction, cyber incidents, or third-party platform outages;
• Supply chain disruptions or unavailability of critical personnel or vendors.

If a force majeure event occurs, we may suspend, reschedule, modify, or cancel affected services without liability, except for obligations that cannot lawfully be excluded. We will use commercially reasonable efforts to mitigate the impact of the event and resume performance as soon as practicable.

10. Changes to Terms

We may update or modify these Terms from time to time to reflect changes in our services, business practices, legal requirements, or operational needs. The revised Terms will be effective when posted or otherwise communicated to you, unless a later effective date is stated.

Your continued use of our services after any changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using our services.

11. Applicable Law and Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or relating to them, the services, or your use of Northlight Stream Studio’s services shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree that the courts located in Toronto, Ontario shall have exclusive jurisdiction over any dispute arising from or related to these Terms or the services, subject to any mandatory consumer protection rights or other non-waivable legal rights that may apply.

13. Severability Clause

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect. If any invalid or unenforceable provision can be modified to make it valid and enforceable, it shall be deemed modified to the extent necessary to make it valid and enforceable while preserving its original intent as closely as possible.

These Terms constitute the entire agreement between you and Northlight Stream Studio regarding the subject matter hereof, unless superseded by a separate written agreement signed by both parties.
